COLLABORATION AGREEMENT

This Collaboration Agreement (“Agreement”) is entered into by and between:

Paras Lubricants Limited, having its registered office at 311-312, Manglam Paradise, Plot No. 8, Manglam Place, Sector-3, Rohini, Delhi-110085 (hereinafter referred to as the “First Party”);

Icemax Universal Private Limited, having its registered office at 311-312, Manglam Paradise, Plot No. 8, Manglam Place, Sector-3, Rohini, Delhi-110085 (hereinafter referred to as the “Second Party”); and

The individual submitting this application form (hereinafter referred to as the “Collaborator” or “Third Party”).

Collectively referred to as the “Parties.”

1. Purpose
The Parties agree to collaborate for promotional and marketing activities relating to the products and brand of Paras Lubricants Limited. The collaboration may include content creation, promotional campaigns, brand endorsements, and digital marketing initiatives as mutually agreed.

2. Content Creation & Submission
The Collaborator agrees to provide high-quality promotional content including but not limited to reels, videos, images, reviews, and raw media files related to the brand/products. All content must be delivered in agreed format and within agreed timelines.

3. Content Usage Rights
The Collaborator grants Paras Lubricants Limited and Icemax Universal Private Limited a full, irrevocable, perpetual, and worldwide license to use, edit, modify, publish, repost, distribute, and promote the submitted content across all digital, print, and marketing platforms including but not limited to Instagram, YouTube, Facebook, websites, advertisements, and any present or future media platforms.

4. Ownership & License
All submitted content shall become the property of the First Party and Second Party for commercial and promotional use. No additional royalty, copyright claim, or future compensation shall be applicable unless separately agreed in writing.

5. Future Usage
The First Party and Second Party reserve the right to reuse, repurpose, re-edit, and redistribute the content for future campaigns or promotional activities without seeking additional approval from the Collaborator.

6. Compensation
The collaboration may be conducted on commercial or non-commercial terms as mutually finalized prior to execution. Compensation, if applicable, shall be communicated separately.

7. Content Authenticity
The Collaborator confirms that all submitted content is original and does not infringe upon any third-party intellectual property rights. The Collaborator shall indemnify and hold harmless the First Party and Second Party against any claims arising from infringement or misuse.

8. Confidentiality
Any confidential business information, marketing strategies, pricing details, or internal discussions shared during the collaboration shall remain strictly confidential.

9. Termination
Either Party may terminate the collaboration with prior notice. However, all previously submitted content may continue to be used by the First Party and Second Party as per the terms stated herein.

10. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts at Delhi.

By checking the acceptance box and submitting this form, the Collaborator confirms that they have read, understood, and agreed to all the terms and conditions stated above.
